Acceptance of Terms

By accessing or using any website, platform, product, or service operated by Mordelt Healthcare ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our services.

These Terms apply to all visitors, users, customers, and any other persons who access or use our services, including our AI-powered healthcare platform, generic medicines distribution services, and any related websites or applications.

We may also provide supplementary terms or policies for specific services. Where supplementary terms apply, they will be made available to you and will form part of your agreement with us. In the event of a conflict between these Terms and any supplementary terms, the supplementary terms shall prevail in respect of the relevant service.

About Us

Mordelt Healthcare is a trading name of Mordelt Group. Mordelt Healthcare is a subsidiary of Mordelt Group and Mordelt Capital. We operate across the United Kingdom and West Africa, with offices in London, Lagos, and Accra.

Our business encompasses three integrated arms:

• AI-Powered Healthcare Platform — clinical triage, chronic disease management tools, and workflow automation for primary care.
• Generic Medicines Distribution — sourcing and distributing essential generic medicines for metabolic health conditions, including diabetes and hypertension treatments.
• Capital Deployment — investing in Healthcare IT, medtech, and related sectors through Mordelt Capital.

Use of Services

You agree to use our services only for lawful purposes and in accordance with these Terms. You must not use our services:

• In any way that breaches any applicable local, national, or international law or regulation.
• To transmit any unsolicited or unauthorised advertising, promotional material, or any other form of spam.
• To knowingly introduce viruses, trojans, worms, or other material that is malicious or technologically harmful.
• To attempt to gain unauthorised access to any part of our services, the servers on which our services are hosted, or any connected database or system.
• To impersonate or misrepresent your affiliation with any person or entity.
• To collect, harvest, or aggregate data from our services without our prior written consent.

We reserve the right to restrict or terminate your access to our services at any time if we reasonably believe you are in breach of these Terms.

Accounts & Access

Certain features of our services may require you to create an account. When you create an account, you must provide accurate and complete information and keep your account credentials secure.

You are responsible for all activity that occurs under your account. You must notify us immediately at info@mordelthealthcare.com if you become aware of any unauthorised use of your account or any other breach of security.

We reserve the right to disable any account at any time if, in our reasonable opinion, you have failed to comply with these Terms.

All content, features, functionality, software, designs, text, graphics, logos, icons, and data available through our services are owned by Mordelt Healthcare, Mordelt Group, or our licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use our services for personal or internal business purposes, subject to these Terms. This licence does not include the right to:

• Modify, reproduce, distribute, or create derivative works based on our services or content.
• Reverse-engineer, decompile, or disassemble any software or technology underlying our services.
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
• Use our trademarks, trade names, or branding without prior written consent.

The Mordelt name, Mordelt Healthcare name, and all related names, logos, product and service names, designs, and slogans are trademarks of Mordelt Group. You must not use such marks without our prior written permission.

Medical Disclaimer

The information and tools provided through our AI-powered platform are intended to support, not replace, the relationship between a patient and their healthcare professional. Our platform uses artificial intelligence and machine learning to provide clinical decision support, but all outputs should be reviewed and validated by qualified medical professionals before any clinical decisions are made.

You should never disregard professional medical advice or delay seeking it because of information obtained through our platform. If you think you may have a medical emergency, call your doctor, go to the nearest emergency department, or call emergency services immediately.

Our generic medicines are distributed in accordance with all applicable pharmaceutical regulations in the jurisdictions in which we operate. All medicines should be used only as directed by a qualified healthcare professional and in accordance with the accompanying patient information leaflet.

We do not warrant that the information provided through our platform is accurate, complete, or current. While we endeavour to keep all information up to date and correct, clinical guidelines, pharmaceutical information, and medical best practices evolve continuously.

Limitation of Liability

To the fullest extent permitted by applicable law, Mordelt Healthcare, Mordelt Group, Mordelt Capital, and their respective directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses arising from:

• Your access to, use of, or inability to access or use our services.
• Any conduct or content of any third party on our services.
• Any content obtained from our services, including but not limited to clinical decision support outputs, triage recommendations, or health-related information.
• Unauthorised access, use, or alteration of your transmissions or content.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

Our total aggregate liability to you for all claims arising out of or relating to these Terms or our services shall not exceed the greater of (a) the amount you have paid us in the twelve (12) months preceding the claim, or (b) one hundred pounds sterling (GBP 100).

Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use our services will immediately cease. If you wish to terminate your account, you may do so by contacting us at info@mordelthealthcare.com.

All provisions of these Terms which by their nature should survive termination shall survive, including without limitation intellectual property provisions, warranty disclaimers, indemnity clauses, and limitations of liability.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Any disputes arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer resident in a jurisdiction where mandatory consumer protection laws apply, nothing in these Terms affects your statutory rights under those laws.

Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will provide notice by updating the "Effective date" at the top of this page and, where appropriate, notifying you by email or through our services.

Your continued use of our services after the effective date of any revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using our services.
